1. Introduction

NOOW.CO is a creative production company that partners with brands and agencies to produce high-quality film and photography. We manage projects in full, from concept to final delivery, or provide specific services like sending a photographer, director of photography, or handling just the edit.

2. Scope of work

Each project undertaken by NOOW.CO will be detailed in a project brief, specifying the deliverables, project timeline, and specific requirements from our clients. This brief serves as the foundation for the execution and delivery of our services.

3. Payment terms

Payment terms, including any deposits required to commence work and the balance due upon project completion, will be outlined in the project proposal provided to each client.

4. Intellectual Property Rights

NOOW.CO retains ownership of all original content produced. Clients are granted a license to use the final deliverables as outlined in the project brief or agreed upon in form of a buy-out.

5. Retention of Deliverables

Final Deliverables: NOOW.CO will retain edited files in original quality for 2 years from the project's completion date.

Project Files and Raw Footage: All project files and raw footage will be deleted 6 months after the project completion date.

6. Β Non-Solicitation of Talent

Clients agree not to directly engage, hire, or solicit any talent introduced by NOOW.CO for the duration of the project and for 12 months following its completion.

7. Cancellation Policy

Should a project be canceled by the client, any deposits paid are non-refundable. NOOW.CO reserves the right to bill for any work completed up to the point of cancellation.

8. Limitation of Liability

NOOW.CO is not liable for indirect, incidental, consequential, or punitive damages arising from the services provided.

9. Confidentiality and Data Protection

Confidentiality is paramount, with allowances for necessary sharing of project details with involved talents and service providers. Data protection measures are in line with GDPR requirements, ensuring personal data is handled, processed, and protected responsibly.

10. Dispute Resolution

Disputes arising from this agreement will be resolved through arbitration or mediation, as preferred, unless litigation is deemed necessary. This process will be governed by Dutch law and conducted in the Dutch language.

11. Force Majeure

Neither party is liable for failure to perform obligations due to events beyond their control, such as natural disasters or government restrictions.

12. Insurance

Both NOOW.CO and the client are responsible for maintaining appropriate insurance coverage for liabilities and equipment related to the project.

13. Client Responsibilities

Clients are responsible for providing timely feedback, ensuring compliance with laws and regulations, and securing necessary permits for project content.

14. Amendments and Modifications

All amendments to the agreement must be in writing and signed by both parties to be valid.

15. Jurisdiction and Governing Law

This agreement is governed by Dutch law, with jurisdiction for legal proceedings established in the Netherlands.

16. Severability

If any part of this agreement is found unenforceable, it will be modified to achieve the intended outcome, with the remainder of the agreement remaining in effect.

17. Entire Agreement

This document constitutes the entire agreement between NOOW.CO and the client, superseding all prior communications.

18. Work Times

Shooting Day: A shooting day is 10 hours "home and away," including at least 30 minutes for a seated lunch, minus time for breakfast and a wrap snack.

Half Day: Up to 6 hours "home and away." For a half day, a rate of 75% of the daily rate is payable. Exceeding 6 hours converts to a full day rate.

Overtime: Work exceeding the regular workday is considered overtime, payable at increased rates from 150% to 300%, based on the duration of overtime.

19. Acceptance

By engaging NOOW.CO, the client agrees to these terms, establishing a commitment to a successful partnership.
